3. Payment Terms

  • The Advertiser agrees to pay for advertising services based on the selected pricing model (e.g., Cost-Per-Click (CPC), Cost-Per-Thousand Impressions (CPM), or other applicable models).
  • Payments will be processed through the Advertiser's designated payment method in accordance with Microsoft Ads' billing policies.
  • All fees are exclusive of applicable taxes, which are the responsibility of the Advertiser.

The Advertiser is solely responsible for ensuring that all advertisements comply with Microsoft Ads' Advertising Policies and all applicable laws, including but not limited to:

Prohibited content includes, but is not limited to:

5. Intellectual Property

  • The Advertiser retains ownership of all intellectual property rights in the content it submits for advertising purposes.
  • By submitting content, the Advertiser grants Microsoft a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely for the purpose of delivering the advertising services.

6. Data Privacy and Security

  • The Advertiser acknowledges that Microsoft may collect and process data in accordance with its Privacy Policy and applicable data protection laws.
  • The Advertiser agrees not to upload or share any personal or sensitive information without obtaining proper consent from individuals.

7. Indemnification

The Advertiser agrees to indemnify, defend, and hold harmless Microsoft and its affiliates from any claims, damages, liabilities, or expenses arising out of:

  • The Advertiser's breach of this Agreement.
  • The Advertiser's violation of any laws or third-party rights.
  • Any content or materials submitted by the Advertiser.

8. Termination

  • Either party may terminate this Agreement at any time by providing written notice to the other party.
  • Upon termination, the Advertiser will remain responsible for all accrued fees and obligations up to the effective date of termination.

9. Limitation of Liability

  • In no event shall Microsoft be liable for any indirect, incidental, consequential, or punitive damages arising out of this Agreement.
  • Microsoft's total liability under this Agreement shall not exceed the total amount paid by the Advertiser for the advertising services during the preceding 12 months.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.

12. Acceptance

By submitting an advertising campaign through Microsoft Ads, the Advertiser acknowledges that it has read, understood, and agrees to be bound by the terms of this Agreement.
